Job Description
Legal Advisory and Support
- Regulatory Monitoring: track legal and regulatory changes, assess their impact on the business, and ensure frameworks (such as POPIA, FICA, or the Companies Act in South Africa) are implemented;
- Policy Development: design, draft, and update internal compliance policies, manuals, and standard operating procedures;
- Due Diligence: perform legal and compliance due diligence on prospective and existing clients;
- Legal Support: draft, review, and negotiate contracts, including, but not limited, to the following:
- loan/equity term sheets;
- loan approval/decline letters;
- loan agreements
- security/collateral documents, e.g. suretyship, cession, guarantee agreements etc.;
- quasi-equity/equity documents, e.g. share subscription agreements (preference shares/ordinary shares), shareholders agreements etc.;
- service level agreements;
- memorandum of understandings/cooperation agreements/partnership agreements etc.
- Loan Conditions Confirmation: confirm Condition Precedents and/or Special Conditions prior to disbursement of loan funds;
- Litigation Support: manage external attorneys, including collections;
- Risk Assessment & Reporting: conduct regular audits, identify legal and operational risks, and report findings directly to senior management and the Board;
- Staff Training: develop training programs to educate employees on compliance obligations, ethical standards, and legal procedures.
AML requirements
- Establish and embed a culture of compliance with AML requirements within the organization;
- Assist the organization in developing, implementing and maintaining compliance risk management and monitoring plans, including standard operating procedures (SOPs);
- Assisting with the development and implementation of effective mitigating actions around key AML risks identified.

- Ability to identify legal and compliance risks;
- Ability to provide workable solutions to minimize and/or eliminate immediate identified risks;
- Ability to make suggestions and implement improvements to work processes.
Communicating and Influence
- Excellent verbal communication skills with the ability to actively listen, build rapport, and de-escalate frustrated stakeholders/customers;
- Exceptional written communication skills to draft error-free correspondence, internal memos, and executive briefing notes;
- Ability to communicate complex technical concepts effectively to non-technical stakeholders and cross-functional teams;
- Communicate persuasively and confidently.
Qualifications, Skills and Experience:
- Education: BCom Law, LLB degree, and/or a relevant postgraduate qualification in risk and compliance management.
- Certifications: Certifications such as an Admitted Attorney/Advocate or a Compliance Institute of South Africa (CISA) designation.
- Experience: 3 to 5 years of experience in a corporate legal, risk, or compliance role, ideally within a similar sector.
- Skills: Excellent legal drafting capabilities, deep analytical skills, strong moral integrity, and the ability to interpret complex legislation into practical business advice.

Additional Role Requirements:

A This role is responsible for ensuring that the organization adheres to external laws, industry regulations, and internal policies. The incumbent will mitigate legal risks, draft and review contracts, oversee governance programs, and train staff to foster a compliant work culture.
